Automatic Payment Authorization

This Automatic Payment Authorization (“Authorization”) is entered into between PitPilot (“PitPilot”) and the individual or business identified in the PitPilot Partner Onboarding Form (“Partner”).

By electronically accepting this Authorization during onboarding, Partner authorizes PitPilot and its designated payment processor (including Stripe or any successor payment processor) to securely store and charge the payment method provided by Partner in accordance with the terms below.

1. Authorization to Store Payment Method

Partner authorizes PitPilot to securely maintain the payment method submitted during onboarding for the purpose of collecting amounts due under the PitPilot Partner Referral Agreement.

PitPilot does not store complete payment card information. Payment information is securely processed and maintained by PitPilot’s designated payment processor.

2. Weekly Automatic Billing

Partner authorizes PitPilot to automatically charge the payment method on file once each calendar week for referral fees and any other amounts properly due under the PitPilot Partner Referral Agreement.

Charges will reflect qualified referrals delivered during the applicable billing period.

No invoices or separate payment requests are required prior to processing authorized charges.

3. Introductory Free Leads

Partner acknowledges and agrees that:

  • the first three (3) Qualified Referrals delivered by PitPilot are provided at no charge;

  • no charge will be made to Partner’s payment method during onboarding;

  • no charge will be made for the first three Qualified Referrals; and

  • referral fees begin only upon delivery of the fourth (4th) Qualified Referral, after which weekly automatic billing will commence in accordance with the PitPilot Partner Referral Agreement.

4. Referral Pricing

Partner acknowledges that referral fees are based on the pricing schedule contained in the PitPilot Partner Referral Agreement, as amended from time to time in accordance with that Agreement.

5. Failed or Declined Payments

If an authorized payment is declined or otherwise fails:

  • Partner remains responsible for all outstanding amounts;

  • PitPilot may attempt to process the payment again;

  • PitPilot may suspend future referrals;

  • PitPilot may suspend or revoke Territory exclusivity; and

  • PitPilot may terminate Partner’s participation in the PitPilot Partner Program in accordance with the Partner Referral Agreement.

6. Updating Payment Information

Partner is responsible for maintaining a valid payment method at all times.

Partner may update payment information through the PitPilot Partner Portal or another method designated by PitPilot.

7. Billing Questions

Partner agrees to notify PitPilot promptly of any good-faith dispute regarding an automatic charge.

Nothing in this Authorization limits PitPilot’s right to collect amounts properly due under the Partner Referral Agreement.

8. Revocation of Authorization

This Authorization remains in effect until:

  • the Partner Referral Agreement is terminated; and

  • all outstanding balances owed to PitPilot have been paid in full.

Partner may remove or change a payment method at any time, provided a valid replacement payment method is maintained while participating in the PitPilot Partner Program.

Removal of all payment methods does not relieve Partner of payment obligations incurred under the Partner Referral Agreement.

9. Electronic Acceptance

By selecting the acceptance checkbox during onboarding and submitting the PitPilot Partner Onboarding Form, Partner acknowledges that:

  • Partner has read this Automatic Payment Authorization;

  • Partner understands the weekly automatic billing process;

  • Partner understands that no charges will be made until the fourth Qualified Referral has been delivered;

  • Partner authorizes PitPilot to charge the payment method on file as described herein; and

  • such electronic acceptance constitutes Partner’s legally binding electronic signature.

10. Incorporated by Reference

This Authorization is incorporated into and forms part of the PitPilot Partner Referral Agreement.

In the event of any conflict between this Authorization and the Partner Referral Agreement, the Partner Referral Agreement shall control unless expressly stated otherwise.
